Terms of service

These terms govern the Eido desktop application, eido.so, and related download and update services.

Short version

Eido is a thinking tool. AI and web results can be wrong, so check important output before relying on it. Outside services have their own terms, privacy practices, and charges. Eido stores your Profile locally, so keep a Portable Export if you need another copy. This summary helps explain the terms. The sections below provide the detail.

1. Agreement and operator

Eido is an Australian-operated desktop application. In these terms, “Eido”, “we”, and “us” mean the operator that makes the application, website, downloads, and update service available under the Eido name. “You” means the person using them.

By downloading, installing, accessing, or using Eido, you agree to these terms. If you do not agree, do not use Eido. If you use Eido on behalf of an organisation, you confirm that you have authority to bind it, and “you” includes that organisation where the context allows.

The Privacy Policy explains information handling. It is not incorporated as a licence to collect information for unrelated purposes.

2. Eligibility

You must be 18 or older, or the age of legal majority where you live, and legally able to enter this agreement. Eido is not directed to children. If law prevents you from using a connected AI or web provider, you must not use that provider through Eido.

3. Your licence to use Eido

Subject to these terms, Eido grants you a limited, non-exclusive, non-transferable licence, continuing until ended under section 13, to install and use the application for lawful personal or business thinking work. You may make reasonable copies needed to install or back up the application.

This licence does not transfer ownership of Eido. You must not sell, rent, sublicense, falsely represent, or distribute Eido except where we have allowed it or applicable law gives you that right. You must not remove legal or ownership notices, bypass safety or access controls, or extract source or protected elements except to the extent law does not permit that restriction.

Open-source components are governed by their own licences. Those licences control where they give you additional rights.

4. The current service

Eido is currently a local-first thinking whiteboard. It does not provide an Eido account, hosted Profile, cloud sync, or operator-run backup. Online AI and web features connect from your device to the provider you choose. Product analytics is separate and optional.

Eido is currently provided without an Eido subscription fee. Outside providers can charge you under your own account or API key. If Eido later introduces a paid plan, price, renewal, cancellation, refund, tax, and access terms will be shown before you buy; these terms do not authorise a recurring charge that was not clearly disclosed.

5. Local storage, exports, and deletion

Your installed Profile is stored on your device under your operating-system account. You are responsible for controlling access to that device and account. Keep a Portable Export or other backup if the work matters. Device failure, account loss, malware, operating- system cleanup, uninstall behaviour, or deletion can make local data unavailable.

A Portable Export contains the logical Profile and referenced assets, not API keys or all device-only state. Deleting an Idea removes it from the active logical Profile, but recovery generations, tombstones, blobs, quarantined files, or operating-system backups may remain for a time. Eido does not promise immediate forensic erasure.

Local agent and command-line features can make bounded reads or changes when invoked. Check a proposed change before applying it and keep an export before consequential automation.

6. Your content

You keep your rights in the text, files, images, prompts, and other material you put into Eido. Eido does not take ownership of it.

You give Eido only the limited permission needed for the software to store, copy, display, transform, export, and transmit your content to perform the actions you request. Because ordinary Profile processing is local, this permission does not give Eido's operator a hosted copy. When you choose an outside service, the permission includes sending the relevant run or web material to that service. Its terms may give it separate rights.

You are responsible for having the rights and authority needed for content you use, including personal information about another person. Do not send confidential, regulated, or sensitive material to a provider unless you understand and accept its handling and are authorised to disclose it.

7. AI, web tools, and outside providers

When you start an AI run, Eido can compile the prompt, connected context, instructions, settings, and attachments and send them to the provider route you selected. With OpenRouter, the request can pass to a downstream model provider and separate tools such as web search or PDF parsing. A locally invoked AI command can still use its provider's online service.

Web actions can send a search question, public address, fetch request, or research brief to Linkup, Jina Reader, OpenRouter, or another selected tool. A Linkup research job can continue at the provider after Eido stops waiting for it.

Outside services have their own eligibility rules, terms, privacy policies, availability, content rules, geographic restrictions, and charges. You are responsible for your provider accounts, API keys, settings, usage, and fees. Eido is not a party to your separate provider agreement and does not control provider models, routing, retention, training practices, or output.

Protect your API keys. Eido stores supported keys outside the Profile in local permission-protected files, but not in the operating system's credential vault. Do not share a key through a board, screenshot, support message, or public repository.

8. Check important output

AI and web output may be wrong, incomplete, biased, outdated, offensive, non-unique, or unsuitable for your purpose. Sources and links can also be wrong or change. Review output before using, publishing, or acting on it.

Eido is not legal, medical, financial, employment, safety, or other professional advice. Do not use Eido or its output as the sole basis for a decision that could significantly affect someone's rights, health, safety, finances, employment, education, access to services, or legal position. Keep a qualified person responsible for those decisions.

Similar output may be generated for others, and output may not be protectable by intellectual-property law. You are responsible for checking whether your use infringes another person's rights.

9. Acceptable use

You must not use Eido to:

  • break the law, violate another person's rights, or facilitate fraud;
  • create, obtain, distribute, or facilitate child sexual exploitation or abuse material;
  • threaten, harass, stalk, exploit, or unlawfully discriminate against a person;
  • develop malware, bypass security, steal credentials, or gain unauthorised access;
  • send information you are not authorised to disclose;
  • misrepresent AI output as verified fact or professional advice where that could cause harm;
  • interfere with Eido, its update service, providers, or another person's systems;
  • evade provider limits, safety controls, payment rules, or applicable sanctions and export controls; or
  • use automated access in a way that exceeds Eido's documented local interfaces or unreasonably burdens a provider.

We may refuse support, updates, or access to operator-controlled services where reasonably necessary to address illegality, abuse, security risk, or a material breach. Where practical, we will explain the reason and give you a way to raise a mistake. This does not give us remote access to delete or disable your local Profile.

10. Privacy and security

The Privacy Policy names the local and network data boundaries. No product can guarantee perfect security. Keep your operating system, Eido, provider tools, and credentials up to date, and use device protections appropriate for your work.

11. Updates and service changes

Eido may provide updates for security, compatibility, reliability, or new features. Update files and manifests are served from Eido's Cloudflare-hosted update address and are cryptographically verified by the application. Some updates may be necessary to keep using connected providers or receive support.

We may change or retire a feature when reasonably needed. Where a change materially reduces a paid entitlement or affects access to local data, we will give reasonable notice where practical and preserve rights that cannot be excluded. We will not use an update to take ownership of your content.

12. Eido's rights and feedback

Eido, its visual design, software, documentation, word marks, and original content are owned by Eido or its licensors, subject to open-source and third-party licences. These terms do not grant you a right to use Eido's name or branding to suggest endorsement.

If you choose to send feedback, you allow Eido to use it without a payment or confidentiality obligation, but this does not give Eido ownership of board content you did not deliberately submit as feedback.

13. Ending use

You may stop using Eido at any time. Export any local work you want to keep before uninstalling or removing application data. Clearing outside-provider credentials or ending a provider account is handled separately through Eido or that provider.

We may end these terms or stop providing operator-controlled services on reasonable notice where Eido can no longer lawfully or practically offer them, or immediately where needed for law, serious abuse, security, or an uncured material breach. Ending these terms ends the licence, but does not transfer ownership of your local content to us. Provisions that by their nature should survive, including ownership, responsibility for prior conduct, consumer rights, liability, and disputes, continue to apply.

14. Australian Consumer Law and other mandatory rights

Nothing in these terms excludes, restricts, or modifies a consumer guarantee, right, remedy, or liability that cannot lawfully be excluded, including rights under the Australian Consumer Law. Eido services supplied to Australian consumers come with guarantees that can include due care and skill, fitness for a disclosed purpose, and supply within a reasonable time.

If Eido fails to meet a non-excludable guarantee, you may be entitled to a remedy under law. Any limitation in these terms applies only to the maximum extent the law permits and does not ask you to waive a mandatory forum or remedy in the place where you live.

15. Service limitations

Subject to the non-excludable rights above, Eido does not promise that every feature or provider will always be available, uninterrupted, error-free, compatible with every device, or suitable for a purpose you have not told us about. Provider responses, network access, model availability, and third-party tools are outside Eido's control.

We do not promise that a local device, Profile, export, credential file, recovery generation, or update will be immune from loss, corruption, unauthorised access, or operating-system behaviour. These statements describe real limits and do not exclude a duty or guarantee that law says Eido must meet.

16. Responsibility and liability

Each party is responsible for loss it causes by breaching these terms or the law. You are responsible for your content, provider accounts, decisions, backups, and unlawful or unauthorised use.

To the extent the law permits, Eido is not responsible for loss caused solely by an outside provider, your device or operating-system account, your failure to keep a copy, your disclosure of a credential, your unauthorised content, or your reliance on unreviewed AI or web output. Eido is not liable for loss that was not reasonably foreseeable when you agreed to these terms.

Nothing in this section excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence where it cannot be excluded, breach of a non-excludable consumer guarantee, or another liability that law does not permit us to limit.

17. Complaints, disputes, and governing law

We will try to resolve disputes in good faith. Privacy complaints are handled under applicable privacy law.

These terms are governed by the laws of New South Wales, Australia, and applicable Commonwealth law, without excluding any mandatory law that applies where you live. The courts of New South Wales have non-exclusive jurisdiction. You may use another court, tribunal, or regulator where a non-waivable law allows it.

18. Changes to these terms

We may update these terms to reflect product, law, provider, or security changes. We will update the effective date and keep prior material versions available. For a materially adverse change, we will give reasonable advance notice and let you stop using Eido before the new terms take effect. A new term does not apply retrospectively to create a breach from earlier conduct.

19. General terms

If a court finds one provision invalid or unenforceable, it will be limited or removed only as needed, and the rest will continue. A delay in enforcing a right is not a waiver. You may not transfer these terms without our consent, but we may transfer them with the Eido business if the transfer does not reduce your mandatory rights and the new operator honours these terms. These terms and documents expressly incorporated into them are the agreement about the current service.
